Definition: Outstanding Shares

Outstanding shares are shares which are held by all the investors. It includes shares held by public and restricted shares owned by officers and insiders of the comapny. Repurchased shares or retired shares are not considered as outstanding shares.

Outstanding Shares are used in the calculation of market capitalization and Earning per share (EPS) which are two metrics used by many investors while evaluating any company.

The outstanding shares are mentioned under the heading Capital Stock in the balance sheet.
